Terms of Service
1. Acceptance of Terms
By accessing and using the No-Show Prediction System (the "Service") provided by RCM-X LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
IMPORTANT: This Service handles sensitive protected health information (PHI) and must be used in compliance with HIPAA regulations and all applicable healthcare privacy laws.
2. Description of Service
The No-Show Prediction System is a healthcare technology platform designed to predict patient appointment no-show likelihood using machine learning algorithms. The Service includes:
- Patient no-show risk assessment
- Appointment queue management
- Batch processing capabilities
- Administrative tools for user management
- Reporting and analytics features
3. User Accounts and Access
3.1 Account Registration
User accounts are created exclusively by system administrators. You are responsible for:
- Maintaining the confidentiality of your login credentials
- Changing temporary passwords immediately upon first login
- Enabling and maintaining two-factor authentication (2FA)
- All activities that occur under your account
3.2 Two-Factor Authentication
Two-factor authentication is mandatory for all users. You must:
- Set up 2FA using Google Authenticator or compatible TOTP app
- Maintain secure access to your authentication device
- Contact your administrator immediately if you lose access to your 2FA device
3.3 Account Security
You agree to immediately notify your system administrator of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
4. Acceptable Use
4.1 Permitted Use
You may use the Service only for legitimate healthcare operations purposes, including:
- Assessing patient no-show risk for appointment scheduling optimization
- Managing appointment queues and patient outreach
- Generating reports for operational improvement
4.2 Prohibited Use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of HIPAA regulations
- Access PHI beyond what is necessary for your job responsibilities
- Share your login credentials or authentication codes with others
- Attempt to bypass security measures or access controls
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to discriminate against patients based on protected characteristics
- Export or share PHI outside the system without proper authorization
- Introduce viruses, malware, or other malicious code
5. Data Privacy and HIPAA Compliance
5.1 HIPAA Obligations
As a user of this Service, you acknowledge that you are handling protected health information subject to HIPAA. You agree to:
- Access and use PHI only as necessary for your job duties
- Maintain the confidentiality of all PHI
- Report any suspected privacy breaches immediately
- Complete required HIPAA training
- Follow your organization's privacy and security policies
5.2 Data Security
We implement administrative, physical, and technical safeguards to protect PHI. However, you play a critical role in maintaining data security through proper use of the system and adherence to security protocols.
6. Service Availability
We strive to provide continuous service availability. However, we reserve the right to:
- Perform scheduled maintenance with advance notice
- Conduct emergency maintenance as needed
- Modify or discontinue features with reasonable notice
We are not liable for any interruption of service, loss of data, or other damages resulting from service unavailability, except as required by law or your service agreement.
7. Intellectual Property
The Service, including all software, algorithms, designs, and content, is the proprietary property of RCM-X LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended healthcare purposes.
8. Disclaimer of Warranties
IMPORTANT: The Service provides predictive analytics to assist with appointment scheduling decisions. However:
- Predictions are probabilistic and not guaranteed to be accurate
- The Service is a decision support tool, not a replacement for clinical judgment
- We do not warrant that the Service will be error-free or uninterrupted
- You are responsible for validating system outputs and making final decisions
9. Limitation of Liability
To the maximum extent permitted by law, RCM-X LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the Service.
10. Indemnification
You agree to indemnify and hold harmless RCM-X LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any rights of another party.
11. User Responsibilities
As a user of this system, you are responsible for:
- Accuracy: Ensuring data entered into the system is accurate and current
- Training: Maintaining proper training on system use and HIPAA compliance
- Reporting: Reporting technical issues, security concerns, or data quality problems
- Updates: Using the most current version of the system and following update procedures
- Documentation: Maintaining appropriate documentation of your use of the system
12. Termination
12.1 By Administrator
Your access may be terminated or suspended immediately, without prior notice, for any violation of these Terms, security concerns, or at the discretion of your system administrator.
12.2 Effect of Termination
Upon termination, your right to access the Service immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the system or via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which RCM-X LLC is registered, without regard to conflict of law principles.
15. Entire Agreement
These Terms constitute the entire agreement between you and RCM-X LLC regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
